Service Agreement

Proposals and Contracts

All projects begin with a detailed proposal outlining scope, deliverables, timeline, and costs. Services commence only after written acceptance of our proposal and execution of a service agreement.

Project Scope

The scope of work will be clearly defined in each project agreement. Any changes to the scope must be agreed upon in writing and may result in additional charges.

Client Responsibilities

Clients are responsible for:

• Providing accurate and complete information required for project execution
• Timely review and approval of deliverables
• Making timely payments according to agreed terms
• Providing necessary access to systems, accounts, or materials
• Ensuring they have rights to any materials provided to us

Payment Terms

Fees and Charges

All fees are specified in individual project agreements. Unless otherwise stated, fees are quoted in Euros and exclude applicable taxes.

Payment Schedule

Payment terms vary by project but typically include:

• 50% deposit upon project commencement
• Remaining balance due upon project completion
• Monthly retainer fees for ongoing services

Late Payments

Late payments may incur additional charges and may result in suspension of services until payment is received.

Intellectual Property

Ownership of Deliverables

Upon full payment, clients receive ownership rights to final deliverables specifically created for their project. We retain rights to methodologies, processes, and general knowledge gained during the project.

Pre-existing Materials

We retain ownership of all pre-existing intellectual property, including templates, frameworks, and proprietary tools used in delivering services.

Portfolio Rights

We reserve the right to display completed work in our portfolio and marketing materials unless otherwise agreed in writing.

Confidentiality

We respect the confidential nature of client information and agree to maintain confidentiality of proprietary information shared during the course of our business relationship.

Warranties and Disclaimers

Service Warranty

We warrant that our services will be performed with reasonable skill and care in accordance with industry standards.

Disclaimers

We make no guarantees regarding:

• Specific marketing results or ROI
• Third-party platform performance or policies
• Market response to advertising campaigns
• Compliance with changing regulations in client jurisdictions

Limitation of Liability

Our total liability for any project shall not exceed the total fees paid for that specific project. We shall not be liable for indirect, incidental, or consequential damages.

Termination

Termination by Either Party

Either party may terminate a project with 30 days written notice. Client remains liable for all work completed and costs incurred up to the termination date.

Termination for Cause

Either party may terminate immediately for material breach that remains uncured after 15 days written notice.

Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including natural disasters, government actions, or pandemic-related restrictions.

Governing Law

These Terms are governed by the laws of Estonia. Any disputes will be resolved through the courts of Estonia.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated to active clients. Continued use of our services constitutes acceptance of modified Terms.
